PAYMENTS ADDENDUM

You ("customer", "you" or "your") are entering into a business relationship with zkipster AG with registered office at Grossmünsterplatz 8, 8001 Zürich, Switzerland (company number CHE-345.444.895) ("zkipster" or "we").

This zkipster Payments Addendum ("Addendum") forms part of and supplements the General Terms of Service (including all of its schedules and appendixes) concluded between zkipster and customer ("General Terms of Service"), available at https://www.zkipster.com/terms-and-conditions.

This Addendum applies solely to customer's activation or use of zkipster Payments (as defined below). By activating or using zkipster Payments, customer agrees to be bound by this Addendum.

Except as expressly modified herein, the General Terms of Service remain unchanged and in full force and effect. In the event of any conflict between this Addendum and the General Terms of Service, this Addendum shall prevail solely with respect to zkipster Payments.

1. Definitions

For purposes of this Addendum:

"zkipster Payments" means the optional payment-related functionality made available by zkipster through the zkipster platform, including functionality enabling customer to accept payments, process transactions, manage ticketing or registrations, or receive payouts through a Third-Party Payment Provider.

"Third-Party Payment Provider" means the third-party payment service provider engaged by zkipster from time to time to provide payment processing, settlement, onboarding, verification, payout, and related financial services in connection with zkipster Payments. As of the date of this Addendum, the Third-Party Payment Provider is Stripe, Inc., with principal offices in the United States, and/or its affiliates. zkipster may change the Third-Party Payment Provider at its discretion and will notify customer of any such change in accordance with the General Terms of Service.

"Platform Fee" means the fee charged by zkipster for customer's use of zkipster Payments, as further described in Section 5.

2. Scope and Activation

2.1. zkipster Payments constitutes an optional service and is not included in customer's subscription unless activated by customer through the zkipster platform.

2.2. Access to zkipster Payments is subject to customer maintaining an active Third-Party Payment Provider account connected to the zkipster platform.

3. Third-Party Payment Provider Services

3.1. zkipster Payments is powered by the Third-Party Payment Provider and related financial infrastructure providers. The Third-Party Payment Provider provides the underlying payment processing, settlement, onboarding, verification, payout, and related financial services.

3.2. Customer is solely responsible for its use of zkipster Payments and for compliance with all applicable laws, regulations, payment network requirements, tax obligations, and contractual obligations relating to customer's products, services, and transactions.

4. Nature of zkipster Services

4.1. zkipster provides software functionality enabling integration between the zkipster platform and the Third-Party Payment Provider's services.

4.2. zkipster acts solely as a software provider enabling customer's access to the Third-Party Payment Provider's services and does not provide payment processing, money transmission, banking, or other regulated financial services.

4.3. zkipster does not receive, hold, control, or settle customer funds and does not store payment card information or sensitive authentication data.

4.4. Customer acknowledges that zkipster Payments may be presented and managed through the zkipster interface while the underlying payment processing services are provided by the Third-Party Payment Provider.

5. Fees

5.1. Customer shall pay the applicable Platform Fee for use of zkipster Payments.

5.2. The Platform Fee applicable to customer shall be the fee set out in customer's order form, quotation, invoice, or other agreement between the parties, or as otherwise communicated to customer (including by email or through the zkipster platform) prior to or at the time of activation of zkipster Payments. zkipster may update the Platform Fee from time to time in accordance with the General Terms of Service or applicable law.

5.3. Fees charged by the Third-Party Payment Provider, including payment network fees, banking fees, currency conversion fees, payout fees, reserves, chargeback fees, refund-related fees, and any other fees, are additional and not covered by the Platform Fee. Such fees are governed exclusively by customer's agreement with the Third-Party Payment Provider and are payable solely by customer to the Third-Party Payment Provider.

5.4. To the extent permitted by applicable arrangements with the Third-Party Payment Provider, customer authorizes zkipster and/or the Third-Party Payment Provider to deduct the applicable Platform Fee from transaction proceeds prior to payout.

6. Customer Obligations

6.1. Customer shall use zkipster Payments in compliance with:

a) applicable laws and regulations; b) the Third-Party Payment Provider's applicable terms and requirements; c) payment network rules; and d) the General Terms of Service and this Addendum.

6.2. Customer shall promptly provide all information reasonably requested by zkipster or the Third-Party Payment Provider for compliance, verification, fraud prevention, or risk management purposes.

7. Availability and Third-Party Services

7.1. The availability and operation of zkipster Payments depend on the Third-Party Payment Provider and other third-party service providers.

7.2. Certain functionalities of zkipster Payments may be unavailable, interrupted, delayed, modified, or discontinued as a result of services provided by the Third-Party Payment Provider or other third-party providers.

7.3. The Third-Party Payment Provider may independently make decisions relating to onboarding, verification, suspension, restriction, termination, reserves, payouts, chargebacks, disputes, or other payment-related matters pursuant to its agreements and policies.

8. Suspension and Termination

8.1. zkipster may suspend, restrict, or terminate customer's access to zkipster Payments immediately upon notice if:

a) required by the Third-Party Payment Provider or a regulatory authority; b) customer breaches this Addendum, the General Terms of Service, or applicable law; c) customer's use presents fraud, compliance, reputational, operational, or financial risk; or d) zkipster reasonably suspects unlawful, fraudulent, abusive, or prohibited activity.

8.2. The Third-Party Payment Provider may independently suspend, restrict, or terminate customer's account or payment processing capabilities pursuant to its agreements with customer.

8.3. Suspension or termination of zkipster Payments shall not automatically terminate the remainder of the General Terms of Service or customer's access to other zkipster services.

9. Data Protection

9.1. The parties acknowledge that use of zkipster Payments may involve limited sharing of account, transaction, event, attendee, and related personal data between zkipster and the Third-Party Payment Provider for purposes of enabling and operating zkipster Payments.

9.2. The Third-Party Payment Provider processes payment-related personal data pursuant to its own privacy notices, security standards, and data processing terms as an independent controller of personal data.

9.3. zkipster does not receive or process payment card numbers or sensitive payment authentication data.

9.4. To the extent zkipster processes personal data in connection with zkipster Payments, such processing shall remain subject to the parties' applicable data processing agreement, available at https://www.zkipster.com/data-processing-agreement.

10. Disclaimer

10.1. zkipster Payments is provided on an "as is" and "as available" basis.

10.2. To the extent permitted by applicable law and subject to the General Terms of Service, zkipster excludes all representations and warranties relating to zkipster Payments and any third-party services integrated therewith, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, availability, or non-infringement.

10.3. zkipster does not warrant that:

a) transactions will be successfully completed; b) payouts will occur within any specific timeframe; c) the Third-Party Payment Provider's services will remain continuously available; or d) zkipster Payments will operate uninterrupted or error-free.

11. Limitation of Liability

11.1. To the extent permitted by applicable law and subject to the General Terms of Service, zkipster excludes liability for indirect, consequential, incidental, or special damages, including loss of profits, revenue, goodwill, business opportunities, or data, arising out of or relating to zkipster Payments.

11.2. Without limitation of the foregoing, zkipster shall not be liable for:

a) services provided by the Third-Party Payment Provider or other third-party providers; b) onboarding, verification, suspension, restriction, or termination decisions made by the Third-Party Payment Provider; c) failed, delayed, reversed, or unauthorized transactions; d) payout delays or failures; e) fraud, chargebacks, disputes, reserves, or payment reversals; or f) acts or omissions of the Third-Party Payment Provider, financial institutions, or other third parties.

11.3. Nothing in this Addendum excludes or limits liability for willful misconduct or gross negligence to the extent such exclusion or limitation is prohibited under applicable law.

11.4. Any liability of zkipster relating to zkipster Payments remains subject to the exclusions, limitations, and liability caps set forth in the General Terms of Service.

12. Modifications

12.1. zkipster may modify, update, enhance, or discontinue zkipster Payments from time to time, including where necessary to:

a) comply with applicable laws or regulations; b) comply with the Third-Party Payment Provider's requirements; c) address security, operational, or technical considerations; or d) improve or evolve zkipster Payments.

12.2. zkipster may update this Addendum from time to time in accordance with the General Terms of Service or applicable law.

13. General

13.1. This Addendum forms an integral part of the General Terms of Service.

13.2. Capitalized terms not defined herein shall have the meanings assigned to them in the General Terms of Service.

13.3. If any provision of this Addendum is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
